About the Company
Neutronyx Marketing Solutions (“NMS”) is the marketing arm/brand of Neutronyx Global Solutions (“NGS”), a company registered in Udupi, Karnataka, India. For legal purposes, all references to “we”, “us”, or “Company” mean NGS operating as NMS. All contracts, invoices, and licenses are issued under NGS.

1. Scope of Services

We provide marketing services including (but not limited to):

• Meta (Facebook/Instagram) ads, Google Ads, performance marketing and reporting

• Website design & development

• SEO, SEM, ASO and consulting/training

• Marketing strategy, content, and branding support

Specific deliverables, timelines, and fees are defined in our proposal/SOW or order form (“Agreement”).

2. Engagement & Client Responsibilities

• To ensure smooth delivery, the client agrees to provide all necessary brand assets, approvals, budgets, ad account access (e.g., pixels, analytics), and timely feedback as requested.

• The client confirms that they own (or have the rights to use) all materials provided to us and agrees to indemnify Neutronyx Marketing Solutions against any third-party claims arising from such materials.

• Ownership of Deliverables:
  Unless otherwise agreed in writing, all ad accounts, domains, CRM systems, and related platforms remain client-owned. However, for websites, creative assets, or custom deliverables developed by Neutronyx Marketing Solutions, ownership and full rights are transferred to the client only upon receipt of final payment in full. Until then, such deliverables remain the property of Neutronyx Marketing Solutions.

3. Payment, fees, Ad Spend & Taxes, refund

• Service Fees: Billed by NGS per the Agreement.

• Media Spend: Paid directly by Client to platforms (Google/Meta), unless otherwise agreed.

• Taxes: Taxes, including GST/VAT or any other applicable duties, will be charged in accordance with the laws of the client’s country of residence and the nature of services provided. Any such taxes will be reflected in the invoice where applicable​.

• Payment Modes: Currently, payments can be made via direct bank transfer. Additional payment options (such as PayPal, credit card, or international gateways) will be introduced soon to make transactions more convenient for our clients.

• Payment Terms: A minimum 50% advance payment is required to initiate any project. The advance amount may vary depending on the scope of work,or milestone-based but it will never be less than 50%. The remaining balance must be paid in full before project completion and final handover. Payment timelines (such as Net 7 or Net 14) may apply on a case-by-case basis, as agreed in the invoice or contract.

• Late Fees: Delayed payments may result in pausing of services until the account is settled. Overdue invoices may incur additional charges, which will be communicated at the time of delay.

• Refund Policy: 50% refund if the project is cancelled before work commences. No refund once project development has started, as resources and time are allocated

4. Revisions, Approvals & Changes

• We are happy to include reasonable revisions as per the agreed scope. Any requests beyond this scope may be subject to additional charges.

• To keep everything clear and avoid confusion, all approvals, feedback, and change requests must be shared in writing (email or agreed platform).

• Once an item is approved (creative, copy, targeting, or budget), any changes requested afterward may incur extra charges.

• To ensure smooth project delivery, we rely on timely feedback and approvals. If delays from the client’s side extend beyond 1 month, a holding fee may apply (e.g., 10% of project cost per month).

5. Website, Software & App Development, advertisements (If Applicable)

• Refund Policy:

  • 50% refund if cancelled before work starts.

  • No refund once project begins.

• Content Delivery: Client must supply all required content (text, images, videos, etc.) within 3 days of project start. Delays may extend timelines and/or attract holding charges.

• Revisions & Modifications: Reasonable revisions are included within scope. Post-approval changes or post-Go-Live modifications will be treated as new tasks and billed separately.

• Additional Costs: Expenses such as hosting, SSL certificates, premium plugins, licensed stock assets, and third-party tools are not included in project fees and will be billed additionally (at actuals).

• Communication & Timelines: Both parties agree to respond within a maximum of 7 days per communication to avoid delays. 

• Ownership & Portfolio Rights: Final deliverables belong to the client only after full payment is received. Until then, all code, design, and assets remain the property of Neutronyx Marketing Solutions.

6. Intellectual Property
All work produced by Neutronyx Marketing Solutions (“NMS/NGS”) for the Client shall remain the sole property of NMS/NGS until full payment has been received. Upon receipt of full payment, all deliverables explicitly intended for transfer shall be assigned or licensed to the Client. NMS/NGS retains all rights, title, and interest in its proprietary methodologies, strategies, templates, processes, and any other intellectual property not explicitly transferred to the Client. The Client is prohibited from using or distributing such proprietary materials without prior written consent from NMS/NGS.

7. Performance & Platform Policies

• We do not guarantee specific results (ROAS, leads, rankings, etc.) due to external factors (platform changes, competition, market).

• Platforms (Meta, Google, etc.) may reject/limit ads. Compliance is a shared responsibility.

• NMS is not liable for policy changes, account bans, or outages.

8. Confidentiality & Data

• Both parties must protect confidential data.

• Personal data is handled per our Privacy Policy.

9. Limitation of Liability

Neutronyx Marketing Solutions (“NMS/NGS”) shall not be liable for any indirect, incidental, consequential, or special damages, including but not limited to loss of profits, revenue, data, business opportunities, or reputation, even if advised of the possibility of such damages.

10. Portfolio Rights & Credits

• Neutronyx Marketing Solutions (“NMS/NGS”) retains the right to display completed projects, including but not limited to websites, designs, and related materials, as part of its portfolio, case studies, and promotional activities.

• Unless otherwise agreed in writing, NMS/NGS may include a discreet design/credit line with a link to its website on completed websites. The Client may request removal of the credit line by written notice.

11. Governing Law & Jurisdiction

These Terms are governed by the laws of India.
Exclusive jurisdiction: Courts of Udupi, Karnataka, India.
